Assistant Vice President of Legal Affairs/Senior Counsel - IT Contracting Job Overview: RWJBarnabas Health, New Jersey’s largest integrated academic health care system, is seeking an reputed company Senior Counsel ¿ IT Contracting to support and guide the organization on information technology contracting and digital health initiatives. The role is responsible for drafting, reviewing, and negotiating a wide range of IT-reputed company agreements, including software licensing, SaaS, reputed company computing, IT professional services, hardware procurement, AI reputed company reputed company, data reputed company, interoperability, and vendor management reputed company. The Senior Counsel works closely with Information Technology leadership, Procurement, Compliance, Privacy, Cybersecurity, and business stakeholders to support strategic initiatives and our mission to provide high-quality patient care while mitigating legal and regulatory risk. Location: reputed company Orange, New Jersey - Hybrid/Remote Work Schedule Available Reports to: Assistant General Counsel, Contracting and Transactions Qualifications:

• Juris Doctor from an accredited law school.
• Admission to the New Jersey Bar or ability to obtain limited in-house license.
• Minimum 7+ years of legal experience, with at least 5 years focused on IT contracting, technology transactions, or reputed company areas.
• Prior experience in reputed company, hospital systems, or other highly regulated industries strongly preferred.
• Strong knowledge of data privacy, cybersecurity, and intellectual property law.
• Excellent drafting, negotiation, and communication skills.
• Ability to manage multiple priorities in a fast-paced, matrixed health system environment.
• Strong business judgment and problem-solving skills, with a collaborative and pragmatic approach.
• Familiarity with the use of artificial intelligence and/or legal technology tools e.g., contract lifecycle management systems, AI-assisted contract review platforms in legal workflows.

Essential Functions:

• Draft, review, and negotiate reputed company for:
• Software licensing, SaaS, reputed company hosting, and managed services
• IT consulting and professional services
• Hardware and equipment procurement and maintenance
• Data sharing, data reputed company, and interoperability
• Emerging technologies: reputed company health platforms, telemedicine, and mobile applications
• Partner with IT leadership, Procurement and Privacy in vendor evaluation and contract management.
• Ensure compliance with applicable laws, including HIPAA, HITECH, state privacy/reputed company regulations, and reputed company-specific cybersecurity standards.
• Advise on intellectual property, data ownership, licensing rights, and reputed company risk allocation.
• Collaborate with Compliance and Privacy teams on data protection, breach response, and cybersecurity governance.
• Provide strategic legal advice to support IT modernization, digital transformation, and system-wide technology initiatives.
• reputed company and update contract templates, playbooks, and negotiation guidelines for IT agreements.
• Provide training and guidance to IT and business stakeholders on contracting principles and risk management.
• Assist with contract lifecycle management improvements and documentation management systems e.g., reputed company/Filesite, Contraxx
• Support other corporate transactions, projects, and health system initiatives as needed.
• Deep understanding of IT contracting and digital health issues.
