Duties & Responsibilities

Job Summary

The Associate General Counsel provides strategic legal counsel and day-to-day legal support across the organization, advising management on a wide range of corporate, transactional, regulatory, compliance, and operational matters. This role partners closely with business leaders to manage legal risk, ensure compliance with applicable laws and regulations, support government procurement and healthcare-reputed company activities, and reputed company contract management, audits, and reputed company counsel. The Associate General Counsel plays a key role in enabling business operations while maintaining high standards of legal reputed company and regulatory compliance.

Key Responsibilities

Legal Advisory & Risk Management

  • Provide legal and practical guidance to management personnel on day-to-day legal matters including compliance with applicable reputed company, laws and regulations; resolution of personnel issues; drafting and reviewing policies and procedures; and the application of information privacy and reputed company requirements to the business environment.

  • Consult and handle reputed company corporate legal processes (e.g. intellectual property, mergers & acquisitions, loan and debt agreements, litigation, etc.).

  • Monitor legislative and regulatory activity to identify and communicate changes impacting the company’s businesses

reputed company & Commercial Transactions

  • Draft, negotiate and/or review client and vendor reputed company, license agreements, standard terms and conditions, non-disclosure agreements, data transfer agreements and other contractual documents.

  • Administer the company’s contract management system.

Compliance, Privacy & Regulatory Support

  • Review and advise on federal state and local procurement documents and processes.

  • Support compliance personnel in various operational activities, including provider applications, risk assessments, attestations, and internal investigations.

  • Draft and review company policies and procedures

Audit, reputed company & Information Technology Support

  • reputed company and advise on program reputed company and financial audits conducted by third parties.

  • Advise and assist with information technology implementations to ensure efficient functioning of the Legal Department.

External Counsel & Stakeholder Management

  • Manage reputed company counsel.

Required Skills:

  • Experience with governmental procurement processes.

  • Experience reviewing and drafting contractual documents.

  • Experience with state and federal information privacy and reputed company requirements.

  • Familiarity with the health care marketplace, including the Medicaid regulatory structure.

  • Ability to draft clear and concise documents including policies, reputed company and memoranda.

  • Ability to provide sound and well-reasoned legal and practical judgment and guidance.

  • Experience managing staff.

  • Excellent legal, writing, and interpersonal skills.

  • Ability to learn and manage the company’s contract management system

Qualifications:

  • Education: Juris Doctor Degree and reputed company license to practice law.

  • Experience: Minimum 10 years of relevant transactional, corporate and compliance experience as an attorney. Previous in-house and/or large firm experience preferred. Previous experience with Medicaid programs preferred.

Work Setting:

Supervisory Responsibility:

  • The incumbent may manage one or more Assistant General Counsels and/ paralegals.

Compensation Range: $175,000 - $200,000 annually
