Corporate Governance New Matters Associate

Bernstein Litowitz Berger & Grossmann LLP (BLB&G) is a leading law firm advising institutional investors on corporate governance and securities litigation. The Corporate Governance New Matters Associate will focus on identifying, assessing, and investigating fiduciary duty claims on behalf of investor clients, requiring strong analytical and communication skills.

Responsibilities

  • Identify, investigate, vet, assess, and analyze potential breach of fiduciary duty and related claims
  • Investigate and uncover potential conflicts of interests of directors and officers and similar corporate wrongdoing, as well as corporate law statutory violations
  • Prepare memoranda and deliver presentations advising clients on potential investor rights related claims, investigation results and litigation recommendations
  • Draft initial court filings, such as Section 220 demands and petitions, as well as breach of duty complaints and related briefs
  • Perform other research and case development activities
  • Extensive interaction with clients and other investor counsel

Skills

  • JD is required, with a preference for graduation years 2019-2025, with the possibility to deviate for an exceptional candidate
  • Financial literacy is expected, including fluency in SEC filings and corporate transaction terminology
  • Entrepreneurial mindset, proactive approach, and readiness to take opportunity and run with it is necessary
  • Desire to represent investors rather than corporations
  • Ability and desire to take a meaningful role in multiple complex matters, often opposite significantly more senior lawyers
  • Excellent time management, multitasking, and communication skills are essential
  • New York or Delaware bar admission preferred
  • Background with Chancery Court, merger, fiduciary duty, and/or appraisal litigation or law preferred
  • Clerkship preferred, especially a Delaware Chancery clerkship
